Abstract

Despite the goal of performance improvement, results from mergers and acquisitions (M&A) are often disappointing. Numerous empirical studies show high failure rates of M&A deals. Studies are mostly focused on individual determinants. The literature therefore lacks a more comprehensive framework that includes different perspectives. Using four statistical methods, Thomas Straub shows that M&A performance is a multi-dimensional function. For a successful deal, the following key success factors should be taken into account: • Strategic logic which is reflected by six determinants: market similarities, market complementarities, operational similarities, operational complementarities, market power, and purchasing power. • Organizational integration which is reflected by three determinants: acquisition experience, relative size, cultural compatibility. • Financial / price perspective which is reflected by three determinants: acquisition premium, bidding process, and due diligence. All 12 variables are presumed to affect performance either positively or negatively. Post-M&A performance is measured by synergy realization, relative performance (compared to competition), and absolute performance.

Abstract

Competition between market centers is a driving force for innovation, dynamic growth, and reasonable pricing structures. Consolidating the order flow amasses liquidity, sharpens price discovery, and lowers trading costs. Can competition remain vibrant in a consolidated environment? How does inter-market competition play out with respect to trading decisions and listing decisions? What will the primary sources of competition be in the future? What impacts will follow from the NYSE's acquisition of Archipelago, and NASDAQ's acquisition of Inet? Will exchanges further consolidate in Europe? What does consolidation imply about the efficient use of technology, the effective handling of institutional order flow, and overall market quality? These are some of the questions that were addressed at the conference and elaborated on in this book. The Zicklin School of Business Financial Markets Series presents the insights emerging from a sequence of conferences hosted by the Zicklin School at Baruch College for industry professionals, regulators, and scholars. Much more than historical documents, the transcripts from the conferences are edited for clarity, perspective and context; material and comments from subsequent interviews with the panelists and speakers are integrated for a complete thematic presentation. Each book is focused on a well delineated topic, but all deliver broader insights into the quality and efficiency of the U.S. equity markets and the dynamic forces changing them.

Abstract

The LBO phenomenon has recently experienced considerable attention in academic literature; especially wealth effects on the parties involved seem to be at the forefront of interest. However, empirical academic work on ex-post value creation and performance analysis is still in its infancy, predominantly due to the lack of available information on firms that have experienced and completed an LBO. Daniel Pindur analyzes value creation in successful LBOs on investment level conceptually and empirically from an LBO equity investor perspective. Based on the LBO transaction model, the author decomposes total proceeds to LBO equity investors and derives a two-tier framework of an internal and an external perspective, thereby structuring the conceptual discussion of various determinants affecting these components. Founded on a novel database with detailed company- and transaction-specific information for a sample of 42 realized European LBO investments, he then quantifies LBO investment performance measures and their components and identifies the determinants of value creation in LBO investments.

Abstract

Has violence changed over the centuries? Has it always held the same meanings for us? Will it always be a given in society? Taking the sociocultural long view, Violence in Europe analyzes the prevalence and role of violence—from street crime to terrorist attacks, homicide to genocide—in the evolution of human and national behavior. The editors and 14 colleagues in history, anthropology, sociology, and psychology focus on Northern and Western Europe, examining centuries of violent phenomena, from the cultural logic of the Middle Ages to today’s soccer riots and security alerts. The contributors’ examination of social constructions (honor codes, class and gender roles) and public ambivalence (acceptance, abhorrence, fascination) regarding violence sheds needed light on current dynamics in law enforcement, political systems, and what many have termed "the civilization of violence." Findings from Britain, France, Ireland, Belgium, and Scandinavia explore: The paradoxes of ethnic violence and insider/outsider thinking in an increasingly multicultural world. Trends in interpersonal violence during wartime and peacetime. The gendering of violence, from early French marital laws to London’s underground nightlife. The growth of cities: modernization, conflict, aggression. Modern prevention and surveillance strategies: effective solutions, complicating the problem, or some middle ground? Reflecting innovative methods of research and interpretation, Violence in Europe is thought-provoking and instructive for researchers and students in psychology and criminology. And with the mounting global presence of violence today, this is reading with profound implications for the future. "Any reader will appreciate the refreshing combination of theory and detail to be found here. Together with their collaborators Body-Gendrot and Spierenburg have produced a book that should be read by scholars, students and anybody interested in how violence transcends nations and cultures." Abstract

... "Included on the Choice list with the outstanding academic Earth Sciences titles 2008" ... This volume describes simplified dynamic analyses that bridge the gap between the rather limited provisions of design codes and the rather eclectic methods used in sophisticated analyses. Graphs and spreadsheets are included for the ease and speed of use of simplified analyses of: soil slope (in)stability and displacements caused by earthquakes, sand liquefaction and flow caused by earthquakes, dynamic soil-foundation interaction, bearing capacity and additional settlement of shallow foundations, earthquake motion effects on tunnels and shafts, frequent liquefaction potential mitigation measures. A number of comments on the assumptions used in different methods, limitation and factors affecting the results are given. Several case histories are also included in the appendices in order to assess the accuracy and usefulness of the simplified methods. Audience This work is of interest to geotechnical engineers, engineering geologists, earthquake engineers and students.

Abstract

The backbone of Geotechnical Engineering does not concern the development of more or less sophisticated tools and theories. It remains in a previous step. When facing a real problem it is necessary to isolate its fundamental aspects and to achieve a correct conceptual representation of its nature. This phase requires abstract thinking, which is certainly assisted by a proper understanding of paradigms and theories of Soil and Rock Mechanics. The process of abstract thinking with the aim of identifying the key issues usually renounces to complexity and secondary details. To be successful, concepts should be simple and rooted on well established mechanical and physical knowledge. Only when the relevant mechanisms or phenomena which define the problem are well understood, additional sophistication may be added for a more accurate analysis or interpretation. This book remains in this first "simple" stage. The correct identification of the essential traits of a geotechnical situation relies heavily also on accumulated experience and on educated intuition. But, how to educate intuition and how to transfer practical experience? Geotechnical failures, specially the catastrophic ones, are an excellent experience and a source of inspiration to improve our current understanding of phenomena and our procedures and tools for analysis and prediction. This unconventional manner to learn Geomechanics is the essence of this book which teaches how to build the necessary models to understand failures. Balance and equilibrium equations are formulated at different scales which are selected having in mind the abstract representation of the key concepts of each case.

Abstract

Poromechanics is the mechanics of porous materials and is now a well established field in many engineering disciplines, ranging from Civil Engineering, Geophysics, Petroleum Engineering to Bioengineering. However, a rigorous approach that links the physics of the phenomena at stake in porous materials and the macroscopic behaviour is still missing. This book presents such an approach by means of homogenization techniques. Rigorously founded in various theories of micromechanics, these up scaling techniques are developed for the homogenization of transport properties, stiffness and strength properties of porous materials. The special feature of this book is the balance between theory and application, providing the reader with a comprehensive introduction to state-of-the-art homogenization theories and applications to a large range of real life porous materials: concrete, rocks, shales, bones, etc.

Abstract

Floods are of increasing public concern world-wide due to increasing damages and unacceptably high numbers of injuries. Previous approaches of flood protection led to limited success especially during recent extreme events. Therefore, an integrated flood risk management is required which takes into consideration both the hydrometeorogical and the societal processes. Moreover, real effects of risk mitigation measures have to be critically assessed. The book draws a comprehensive picture of all these aspects and their interrelations. It furthermore provides a lot of detail on earth observation, flood hazard modelling, climate change, flood forecasting, modelling vulnerability, mitigation measures and the various dimensions of management strategies. In addition to local and regional results of science, engineering and social science investigations on modelling and management, transboundary co-operation of large river catchments are of interest. Based on this, the book is a valuable source of the state of the art in flood risk management but also covers future demands for research and practice in terms of flood issues.
