Abstract

This book illustrates how CSR can be used as a tool to improve corporate governance in organizations and improve the relationship between business and society. Connecting corporate social responsibility (CSR) with corporate governance (CG) is a 21st century challenge, and the book argues that CSR and CG should be addressed together in synergy in the management literature. Linking these two crucial business functions, it describes the preconditions for successful integration and the tools for practical implementation. Volume 1 covers corporate governance from the perspective of CSR, where responsible and sustainable business is a common goal and the tasks are to create core values, business policy and organizational strategies. Abstract

This book breaks the boundaries of the single enterprise, proposing the symbiotic business model, and discussing business model design engineering as well as other new concepts, methods and ideas. Business models are not only dependent on business intuition, but also on systematic design and continuous upgrade. This book presents qualitative methods, such as the theory and principles of business model design; quantitative methods, for example the business-model based "Accounting Method"; and the "Financial Analysis Method," based on the business ecosystem. These methods help entrepreneurs and managers design better business models to further develop enterprises and make them more successful.

Abstract

This book presents an account of legal, economic and managerial perspectives on governance in situations of financial distress and insolvency. It uses detailed real-life case studies of executive decision making to explore and illustrate the discussion. The book deals with the emergence of corporate governance as a framework of checks and balances on executive decision-making, before moving to the core issues of governance during financial distress and insolvency and alternative informal and formal rescue. Identifying and reviewing turnaround strategies and formal rescue processes available to management, the book also examines the increasing importance of creditors and their impact on business decision-making. The book provides a detailed interpretation of governance in five mega insolvencies in retail and construction following the financial crisis in 2008. It also sets out a methodology which is designed to inform and help those readers seeking to analyse and interpret director behaviour in such circumstances.

Abstract

“This book offers a penetrating analysis of the sharp realties of the state of corporate governance… the concept of transparency only confi rms the status quo. The meaning of transparency is overwhelmed by the prerogatives of the current norms and practices, and the deep-seated values of shareholder primacy underlying contemporary business. The authors demand a more authentic and truthful approach to determining the purpose of the corporation and the resulting estimations of its performance.” — Professor Thomas Clarke University of Technology Sydney Transparency is generally seen as a corporate priority and a central attribute for promoting business growth and social morality. However, from a philosophical perspective, society has experienced a gradual paradigm shift which intensified after the Second World War with the advent of the information era. Therefore, as transparency serves both as a fundamental part of an inescapable, hegemonic capitalist system, and as a moral imperative, this book examines and challenges the concept of transparency as to its true governance value in building a sustainable twenty-first century. Rather than clinging to the fantasy of complete transparency as the only form of accountability, corporate governance is strengthened in this way by practicing true social responsibility, which emerges not from outward-looking compliance but from a deeper place in the corporate psyche through inward-looking contemplation and the development of moral maturity. This book will be of use to scholars working on corporate governance, business ethics, CSR, and the philosophy of business. Finn Janning, PhD, is a writer and philosopher. Abstract

This book examines corporate governance through a holistic lens that integrates financial, social and environmental goals, e.g. increasing transparency and disclosure. In addition, it investigates the theoretical assumptions guiding the current corporate governance practices adopted by companies in Central Europe and Russia. The book presents a dynamic study on the evolution of corporate governance systems, which were practically non-existent just 30 years ago. In turn, it addresses criticism leveled at corporate governance, its impact on the outbreak of the financial crisis, and recommendations for changes after the crisis. The book employs a regional focus, exploring a group of countries that have often been neglected in corporate governance research. Carefully selected data and a variety of case studies prepared by leading authors from the region provide evidence to support the analysis.
